1. Acceptance
By creating an account or using any part of the Omako service ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not use the Service.
These Terms form a contract between you and Shwez Studio LLP, the operator of Omako.
2. The service
Omako provides a web-based workspace for freelancers that includes proposal creation, project timeline tracking, client approvals, GST-compliant invoicing, feedback management, a client portal, and an AI assistant ("Omi"). The Service is currently in early access and features may change.
We aim to provide the Service without interruption, but we do not guarantee 100% uptime. We may carry out scheduled maintenance with reasonable notice and may modify or discontinue features with at least 30 days' notice to active subscribers.
3. Eligibility and accounts
- You must be at least 18 years old to use the Service.
- You are responsible for all activity that occurs under your account.
- You must provide accurate information when registering and keep it up to date.
- You may not share your account credentials or create accounts for others without their consent.
- We may suspend or terminate accounts we believe are being used fraudulently or in violation of these Terms.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or to violate applicable Indian or international law.
- Upload, store, or transmit malware, viruses, or any malicious code.
- Attempt to reverse engineer, decompile, or extract the source code of the Service.
- Scrape, data-mine, or systematically extract content from the Service without our written permission.
- Use Omi to generate content that is deceptive, harassing, defamatory, or otherwise harmful.
- Resell or sub-license access to the Service without our written permission.
- Impersonate any person or entity or misrepresent your affiliation.
5. Your data and intellectual property
You own your data. All content you create using the Service (proposals, invoices, project data, client information) remains yours. You grant us a limited, non-exclusive licence to store, process, and display that content solely to provide the Service to you.
We own the platform. Omako's software, design, brand, documentation, and the Omi AI system are the intellectual property of Shwez Studio LLP. These Terms do not grant you any rights to our intellectual property beyond what is necessary to use the Service.
You may export your data at any time. On account deletion, your data is erased within 90 days (except where legal retention obligations apply).
6. Plans, pricing and billing
6.1 Plans and prices
Omako is offered on four plans. All prices are in INR and are exclusive of GST; applicable GST (currently 18%) is added at checkout and shown before you pay.

Every paid plan includes a 14-day free trial of Solo Pro features with no card required, subject to trial caps of 5 proposals, 2 projects, and 10 invoices.
Early access users in the first cohort of 500 receive six months of Solo Pro at no charge, with no card required during that period. Separately, participants selected for the Omako Originals programme (10 places, one per category) receive Solo Pro at no charge for as long as stated when the place was offered.
6.2 Free plan
The Free plan is free permanently and requires no card. It carries lifetime caps of 10 proposals, 3 projects, and 15 invoices. The invoice cap is a sending cap: once reached, existing invoices remain fully accessible and readable, but new ones cannot be sent until you upgrade.
The Free plan does not include the scope change request engine, e-signature, reporting, or conversational Omi, and invoices carry an Omako watermark in place of your own branding. Free plan limits and inclusions may change with 30 days' notice.
6.3 Team seats and add-ons
The Studio plan covers three people in its base price: you as the account owner plus two team members in any role. From the fourth person onward, each additional seat is charged according to the role it is given:

There is no cap on the number of seats. On the Solo plan, advanced Omi is available as an optional add-on at ₹199 per month; it is already included on Solo Pro and Studio. Seats and add-ons are billed as separate subscriptions alongside your plan and can be cancelled independently of it.
6.4 Billing
Subscriptions are billed in advance, monthly or annually according to the cycle you choose. Payments are processed in INR through Razorpay, and we accept UPI, debit and credit cards, and net banking. If a payment fails we will notify you and provide a grace period before downgrading your account.
Refunds and cancellation are governed by our Refund & Cancellation Policy, which forms part of these Terms.
6.5 Changes to pricing
Plan prices, seat prices, and add-on prices may change over time. If we change the price of something you are subscribed to, we will give you at least 30 days' notice by email and in-app before it takes effect.
A price change never applies mid-cycle. It takes effect at your next renewal, so a monthly subscriber keeps the old price until their next monthly renewal, and an annual subscriber keeps it until the end of the term they have already paid for.
If you do not want to continue at the new price, you can cancel before the effective date and you will not be charged it. Continuing to use a paid plan after the effective date means you accept the new price.
Where we describe a price as introductory, promotional, or limited to an early cohort, the period it applies for is stated at the time you sign up, and it will not be shortened afterwards. Commitments made to founding users under the Omako Originals programme are honoured for as long as stated when the place was offered.
7. Early access
During early access (expected through Q3 2026), the Service is provided "as is" with the understanding that features are still being developed. We will communicate limitations and known issues via in-app notices and email. Feedback provided during early access may be used to improve the product.
8. Limitation of liability
To the maximum extent permitted by Indian law, Omako and Shwez Studio LLP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, arising from your use of or inability to use the Service.
Our total aggregate liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the three months preceding the claim, or ₹5,000, whichever is greater.
Nothing in these Terms excludes liability for fraud, willful misconduct, or death or personal injury caused by our negligence.
9. Indemnification
You agree to defend, indemnify, and hold harmless Shwez Studio LLP and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
10. Termination
You may cancel your account at any time from account settings. We may terminate or suspend your account immediately if you breach these Terms. On termination, your right to use the Service ceases immediately. Sections on intellectual property, limitation of liability, and governing law survive termination.
11. Governing law and disputes
These Terms are governed by the laws of India. Any dispute arising from or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
12. Changes to these terms
We may update these Terms from time to time. For material changes, we will provide at least 30 days' notice via email or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service before the effective date.
